We Grow Well Network Memorandum of Understanding (MOU)<\/strong><\/div>\r\n\r\n
\r\n\r\n

This Memorandum of Understanding (MOU) is made and entered into as of [Date] by and between the We Grow Well Network (hereinafter referred to as “We Grow Well” or “the Platform”) and [Member Name] (hereinafter referred to as “Member”).<\/strong><\/p>\r\n\r\n\r\n\r\n

Whereas,<\/strong> We Grow Well is a trusted private & specialized social networking urban agriculture and health & wellness membership & e-commerce marketplace website for Black and Indigenous Black people in America; and<\/p>\r\n\r\n\r\n\r\n

Whereas,<\/strong> Member desires to participate in the We Grow Well Network and utilize its features, including but not limited to e-commerce, e-learning, digital commerce, paid memberships, online communities, mobile phone capability, online marketplace & promotions, job boards, business advertising, donations, and competitions; and<\/p>\r\n\r\n\r\n\r\n

Whereas,<\/strong> We Grow Well and Member (collectively referred to as the “Parties”) desire to establish a clear understanding of their respective obligations and responsibilities in connection with Member’s participation in the We Grow Well Network.<\/p>\r\n\r\n\r\n\r\n

Now, therefore, in consideration of the mutual covenants contained herein, the Parties agree as follows:<\/strong><\/p>\r\n\r\n\r\n\r\n

1. Membership<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to abide by the We Grow Well Network’s Code of Conduct and Guidelines, which are incorporated herein by reference. Member also agrees to comply with all applicable laws and regulations.<\/p>\r\n\r\n\r\n\r\n

2. Use of the Platform<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member is granted a non-exclusive, non-transferable license to use the We Grow Well Network and its features for personal, non-commercial use only. Member agrees not to use the Platform for any illegal or unauthorized purpose, or in any way that could damage, disable, overburden, or impair the Platform or interfere with any other party’s use of the Platform.<\/p>\r\n\r\n\r\n\r\n

3. E-commerce and Marketplace<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to conduct all transactions on the Platform with honesty and integrity. Member also agrees to protect their own information and avoid sharing sensitive financial or personal information publicly.<\/p>\r\n\r\n\r\n\r\n

4. E-Learning and Digital Commerce<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to respect intellectual property rights and avoid plagiarizing or misusing copyrighted material. Member also agrees to provide fair and transparent pricing and terms of service for digital products and services.<\/p>\r\n\r\n\r\n\r\n

5. Paid Memberships<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to comply with all terms and conditions of their paid membership plan. Member also agrees to provide accurate and up-to-date information to We Grow Well.<\/p>\r\n\r\n\r\n\r\n

6. Online Communities<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to use online communities in a respectful and responsible manner. Member also agrees to report any violations of the Code of Conduct or Guidelines to We Grow Well.<\/p>\r\n\r\n\r\n\r\n

7. Mobile Phone Capability<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to use the Platform responsibly on their mobile device. Member also agrees to report any issues or concerns related to the mobile version of the Platform to We Grow Well.<\/p>\r\n\r\n\r\n\r\n

8. Online Marketplace & Promotions<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to comply with all applicable laws and regulations regarding promotions. Member also agrees to protect consumer rights and safety.<\/p>\r\n\r\n\r\n\r\n

9. Job Boards<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to use the job board responsibly and to comply with all applicable laws and regulations. Member also agrees to report any violations of the Code of Conduct or Guidelines to We Grow Well.<\/p>\r\n\r\n\r\n\r\n

10. Business Advertising<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to only advertise reputable businesses with ethical practices. Member also agrees to comply with all applicable advertising regulations.<\/p>\r\n\r\n\r\n\r\n

11. Donations<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to donate responsibly and to comply with all applicable laws and regulations. Member also agrees to provide accurate and up-to-date information to We Grow Well.<\/p>\r\n\r\n\r\n\r\n

12. Competitions<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to participate in competitions responsibly and to comply with all competition rules and guidelines. Member also agrees to report any violations of the Code of Conduct or Guidelines to We Grow Well.<\/p>\r\n\r\n\r\n\r\n

13. Offline and Sponsored Events<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to represent the We Grow Well Network with respect and to comply with all applicable laws and regulations. Member also agrees to report any violations of the Code of Conduct or Guidelines to We Grow Well.<\/p>\r\n\r\n\r\n\r\n

14. Reporting Violations<\/strong><\/h3>\r\n\r\n\r\n\r\n

Member agrees to report any violations of this MOU or the Code of Conduct or Guidelines to We Grow Well. We Grow Well will investigate all reports of violations promptly and take appropriate action.<\/p>\r\n\r\n\r\n\r\n

15. Termination<\/strong><\/h3>\r\n\r\n\r\n\r\n

We Grow Well may terminate Member’s access to the Platform at any time, for any reason, and without prior notice. We Grow Well may also terminate this MOU at any time, for any reason, and upon written notice to Member.<\/p>\r\n\r\n\r\n\r\n

16. Entire Agreement<\/strong><\/h3>\r\n\r\n\r\n\r\n

This MOU constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.<\/p>\r\n\r\n\r\n\r\n
